Terms of Service
These Terms of Service ("Terms") govern your access to and use of the SnapSend platform at snapsend.org (the "Service"), operated by UKK LLC ("we," "us," or "our"), a Wyoming limited liability company doing business as SnapSend. By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.
1. Overview of the Service
SnapSend is a content delivery platform operated by UKK LLC. We sell and deliver digital content created by verified content providers ("Providers") who are under contract with UKK LLC. Content is made available to buyers ("Buyers") through unique, shareable payment links.
UKK LLC is the merchant of record for all transactions on the platform. When you purchase content through SnapSend, you are transacting with UKK LLC. We are responsible for payment processing, content delivery, refunds, and customer support.
2. Eligibility
You must be at least 18 years old to use the Service. By using the Service, you represent and warrant that you are at least 18 years of age, have the legal capacity to enter into these Terms, and are not prohibited from using the Service under any applicable law.
3. Account Registration
To use certain features of the Service, you must create an account. You agree to provide accurate, current, and complete information during registration and to keep your account information up to date. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must notify us immediately at support@snapsend.org if you suspect unauthorized access to your account.
4. Fees and Payments
4.1 Service Fee
A service fee is added to each transaction to cover payment processing and platform costs. This fee is transparently displayed to the Buyer before purchase and is included in the total price charged.
4.2 Payment Processing
All payments are processed through Stripe. By using the Service, you agree to Stripe's Terms of Service. All prices are displayed in EUR.
4.3 Pricing
Providers set their own prices for content delivered through the Service. SnapSend reserves the right to set minimum and maximum price limits. All prices are displayed in the currency configured by the Provider.
5. Content Provider Responsibilities
All Providers must complete identity verification (KYC) through our third-party verification partner, Veriff, before they can create content links or receive payments. Providers must also sign a Content Provider Agreement.
As a Provider, you represent and warrant that:
- You own or have all necessary rights, licenses, and permissions to upload and distribute the content you deliver through the Service.
- Your content does not infringe upon the intellectual property rights, privacy rights, or any other rights of any third party.
- Your content complies with all applicable laws and regulations, and with our Usage Policy.
- You are solely responsible for the content you deliver and any claims arising from it.
- You will accurately describe your content and not engage in misleading or deceptive practices.
6. Buyer Responsibilities
As a Buyer, you agree that:
- You will not redistribute, resell, share, or publicly display content you access through the Service unless the Provider explicitly grants such permission.
- Your purchase grants you a personal, non-transferable, non-exclusive license to view the delivered content, unless otherwise specified by the Provider.
- You will not attempt to circumvent any access controls, payment mechanisms, or security features of the Service.
7. Prohibited Conduct
You agree not to:
- Use the Service for any unlawful purpose or in violation of any applicable laws or regulations.
- Upload, deliver, or facilitate the delivery of content that violates our Usage Policy.
- Interfere with or disrupt the Service or its underlying infrastructure.
- Attempt to gain unauthorized access to any part of the Service, other users' accounts, or our systems.
- Use automated means (bots, scrapers, etc.) to access the Service without our written permission.
- Engage in fraudulent transactions, chargebacks, or payment manipulation.
- Impersonate any person or entity or misrepresent your affiliation with any person or entity.
8. Intellectual Property
The SnapSend platform, including its design, features, code, and branding, is owned by SnapSend and protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works of any part of the platform without our written permission.
Providers retain full ownership of the content they upload. By uploading content, you grant SnapSend a limited, non-exclusive license to host, store, display (including blur previews), and deliver your content as necessary to operate the Service.
9. Content Moderation and Removal
SnapSend reserves the right, but has no obligation, to review, monitor, or remove content at our sole discretion. We may remove content or suspend accounts that violate these Terms, our Usage Policy, or applicable law. We will follow the procedures outlined in our Complaints & Removal Policy.
10. DMCA and Copyright
We respect intellectual property rights and will respond to valid copyright infringement notices in accordance with the Digital Millennium Copyright Act (DMCA). Please see our DMCA Takedown page for details on reporting infringement.
11. Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.
SNAPSEND DOES NOT ENDORSE, VERIFY, OR GUARANTEE THE QUALITY, ACCURACY, LEGALITY, OR SAFETY OF ANY CONTENT DELIVERED THROUGH THE SERVICE. ALL CONTENT IS THE SOLE RESPONSIBILITY OF THE PROVIDER.
12. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, SNAPSEND AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.
OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING UNDER THESE TERMS SHALL NOT EXCEED THE AMOUNT OF FEES PAID BY YOU TO SNAPSEND IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
13. Indemnification
You agree to indemnify, defend, and hold harmless SnapSend and its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Service; (b) content you upload or deliver through the Service; (c) your violation of these Terms; or (d) your violation of any rights of a third party.
14. Termination
We may suspend or terminate your account and access to the Service at any time, with or without cause, and with or without notice. You may terminate your account at any time by contacting us. Upon termination, your right to use the Service ceases immediately. Provisions that by their nature should survive termination will survive, including ownership, warranty disclaimers, indemnification, and limitations of liability.
If your account is terminated for a violation of these Terms, any pending payouts may be withheld to cover potential refunds, chargebacks, or damages.
15. Dispute Resolution
Any disputes arising from these Terms or your use of the Service shall first be attempted to be resolved through good-faith negotiation. If a resolution cannot be reached within 30 days, the dispute shall be resolved through binding arbitration, except where prohibited by law. Nothing in this section prevents either party from seeking injunctive relief in a court of competent jurisdiction.
16. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Wyoming, United States, without regard to conflict of law principles.
17. Changes to These Terms
We may update these Terms from time to time. We will notify you of material changes by posting the revised Terms on our website and updating the "Last updated" date. Your continued use of the Service after any changes constitutes acceptance of the revised Terms. If you do not agree to the updated Terms, you must stop using the Service.
18. Severability
If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.
