Content Provider Agreement

This Content Provider Agreement ("Agreement") is a legal contract between you ("Provider," "you," or "your") and UKK LLC, doing business as SnapSend ("we," "us," or "our"). By uploading content to the SnapSend platform at snapsend.org (the "Service"), you agree to be bound by this Agreement, in addition to our Terms of Service and Usage Policy.

1. Role of SnapSend

SnapSend is a content delivery platform operated by UKK LLC. We provide the technology, infrastructure, and payment processing that enable verified content providers to deliver digital content to buyers through unique, shareable payment links. UKK LLC is the merchant of record for all transactions. Buyers transact with UKK LLC, and we handle payment processing, delivery, refunds, and customer support on your behalf.

2. Eligibility

To become a Provider on SnapSend, you must:

  • Be at least 18 years of age.
  • Have the legal capacity to enter into this Agreement.
  • Provide accurate and complete account information.
  • Complete identity verification (KYC) through our third-party verification partner, Veriff, including providing a valid government-issued ID and a selfie for identity confirmation.
  • Comply with all applicable laws and regulations in your jurisdiction.

3. Content Ownership and License

3.1 Your Ownership

You retain full ownership of all content you upload to SnapSend. We do not claim any ownership rights over your content.

3.2 License to SnapSend

By uploading content, you grant SnapSend a non-exclusive, worldwide, royalty-free license to:

  • Host, store, and cache your content on our servers and infrastructure.
  • Generate and display blur previews and thumbnails of your content for the purpose of facilitating sales.
  • Deliver your content to buyers who have completed a valid transaction.
  • Process and display your content as necessary to operate the Service, including resizing, compressing, or reformatting for delivery purposes.

This license continues for as long as your content is hosted on the platform. When you remove your content or close your account, this license terminates, subject to our need to retain copies for legitimate business purposes (e.g., fulfilling existing access for buyers, resolving disputes, or complying with legal requirements).

3.3 License to Buyers

When a buyer completes a transaction for your content, you grant the buyer a personal, non-transferable, non-exclusive license to view the delivered content for private use. Buyers are not permitted to redistribute, resell, or publicly display your content unless you explicitly grant additional permissions.

4. Content Requirements and Representations

By uploading content to SnapSend, you represent and warrant that:

  • You are the original creator of the content, or you have obtained all necessary rights, licenses, and permissions to distribute the content through the Service.
  • Your content does not infringe upon the copyright, trademark, privacy, publicity, or other rights of any third party.
  • If your content depicts identifiable individuals, you have obtained their written, informed consent for the creation, distribution, and commercial use of the content.
  • All individuals depicted in your content are at least 18 years of age.
  • Your content complies with all applicable laws and regulations, including obscenity laws, and with our Usage Policy.
  • The descriptions, titles, and preview images you provide for your content are accurate and not misleading.
  • You will maintain records of all consents and permissions for at least seven (7) years and make them available to SnapSend upon request.
  • Your content does not contain any explicit, pornographic, or sexually gratifying material, including but not limited to depictions of sexual acts, exposed genitals, or graphic nudity, as defined in our Usage Policy.

5. Record-Keeping and Compliance

You shall comply with all applicable federal, state, and local laws, including record-keeping requirements under 18 U.S.C. §2257 and any equivalent state-level laws. You shall:

  • Maintain on record government-issued photo identification for each person depicted in your content, confirming that every such person is at least 18 years of age at the time of depiction.
  • Retain all consent and age-verification records for a minimum of seven (7) years.
  • Provide copies of such records to SnapSend within seventy-two (72) hours of a written request.
  • Make all records available for inspection by SnapSend or any lawful authority upon request.

6. Pricing and Fees

6.1 Setting Prices

You are responsible for setting the price for each piece of content you deliver through the Service. You may change your prices at any time. SnapSend reserves the right to set minimum and maximum price limits.

6.2 Processing Fee

A service fee is added to each transaction to cover payment processing costs (including Stripe fees, international card fees, and currency conversion). This fee is transparently displayed to the Buyer before purchase and is included in the total price charged. All prices are displayed in EUR.

6.3 Taxes

You are solely responsible for determining and fulfilling your tax obligations related to your earnings from the Service, including income tax, sales tax, VAT, or any other applicable taxes. SnapSend may be required to report your earnings to tax authorities and may request tax documentation from you (such as a W-9 or W-8BEN form).

7. Payouts

Payouts are processed through Stripe according to Stripe's standard payout schedule. To receive payouts, you must complete Stripe's onboarding process and provide valid payout information. SnapSend is not responsible for payout delays caused by Stripe, your bank, or incomplete or inaccurate account information.

We reserve the right to withhold, delay, or reverse payouts in the following circumstances:

  • Suspected fraud, policy violations, or illegal activity.
  • Pending refunds or chargebacks related to your content.
  • Incomplete identity verification or tax documentation.
  • Any violation of this Agreement, the Terms of Service, or the Usage Policy.

8. Refunds and Chargebacks

Refunds for content delivered through your links are handled in accordance with our Refund Policy. When a refund is issued for a transaction involving your content:

  • The corresponding payout amount will be deducted from your pending or future payouts.
  • If your account balance is insufficient to cover a refund, SnapSend may recoup the amount from future earnings.

Excessive refund rates or chargebacks may result in additional review, suspension, or termination of your account.

9. Content Moderation

SnapSend reserves the right to review, moderate, and remove content at our sole discretion. We may remove content or restrict your account without prior notice if we reasonably believe the content violates this Agreement, our Usage Policy, or applicable law. We will follow the procedures outlined in our Complaints & Removal Policy.

10. Indemnification

You agree to indemnify, defend, and hold harmless SnapSend, its officers, directors, employees, and agents from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:

  • The content you upload or deliver through the Service.
  • Any breach of your representations and warranties under this Agreement.
  • Any infringement of intellectual property or other rights of a third party by your content.
  • Any claim by a buyer related to the content you delivered.
  • Your failure to comply with applicable laws, including tax obligations.

11. Account Suspension and Termination

11.1 Suspension

We may suspend your account temporarily if we detect suspicious activity, receive a valid complaint, or need to investigate a potential violation. During suspension, your content may be inaccessible and payouts may be held.

11.2 Termination by SnapSend

We may terminate your account at any time for any reason, including but not limited to violations of this Agreement, the Terms of Service, or the Usage Policy. Upon termination:

  • Your content will be removed from the platform.
  • Any pending payouts may be withheld for up to 180 days to cover potential refunds, chargebacks, or damages.
  • After the hold period, any remaining balance will be paid out to you, minus any amounts owed for refunds, chargebacks, or damages.

11.3 Termination by You

You may terminate your account at any time by contacting us at support@snapsend.org. Upon voluntary termination:

  • Your content will be removed from the platform within a reasonable timeframe.
  • Any pending payouts will be processed according to Stripe's standard schedule, subject to any pending refund or chargeback holds.
  • Buyers who have already paid for and accessed your content will retain their access in accordance with the license granted at the time of purchase.

12. Confidentiality

You agree to keep confidential any non-public information about the Service, including but not limited to platform features in development, security measures, and internal policies that may be shared with you. This obligation survives termination of this Agreement.

13. Modifications to This Agreement

We may modify this Agreement at any time by posting the revised version on our website and updating the "Last updated" date. We will notify Providers of material changes via email or through the platform. Your continued use of the Service after changes take effect constitutes acceptance of the modified Agreement. If you do not agree to the changes, you must stop using the Service and close your account.

14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SNAPSEND SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO THIS AGREEMENT OR YOUR USE OF THE SERVICE, INCLUDING BUT NOT LIMITED TO LOSS OF REVENUE, PROFITS, DATA, OR BUSINESS OPPORTUNITIES.

OUR TOTAL LIABILITY UNDER THIS AGREEMENT SHALL NOT EXCEED THE TOTAL PLATFORM FEES PAID BY YOU TO SNAPSEND IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

15. Governing Law and Disputes

This Agreement shall be governed by and construed in accordance with the laws of the State of Wyoming, United States, without regard to conflict of law principles. Any disputes arising from this Agreement shall first be attempted to be resolved through good-faith negotiation. If resolution cannot be reached within 30 days, the dispute shall be resolved through binding arbitration, except where prohibited by law.

16. Entire Agreement

This Agreement, together with the Terms of Service, Usage Policy, Privacy Policy, and Refund Policy, constitutes the entire agreement between you and SnapSend regarding your use of the Service as a content provider. If any provision of this Agreement is found to be unenforceable, the remaining provisions will remain in full force and effect.
